
Board of Directors - Roles and Responsibilities
- President
Shall be the Chief Executive Officer and Chairman of the Board of Directors. Specific responsibilities include: - Shall be the presiding officer of all general meetings.
- Shall be the presiding office of all meetings of the Board of Directors.
- Shall, under the direction of the Board of Directors, exercise general supervision over the activities and business of Club 63 North.
- Shall perform such other duties as may be assigned by the Board of Directors.
- Shall exercise such signing authority as may be delegated by the Board of Directors.
- Shall represent the Board of Directors when called upon (e.g. by Syncrude Canada Ltd.)
- Shall ensure all are treated with dignity and respect.
- Shall communicate with vendors as needed.
- Shall provide, upon approval by the Board of Directors, a written statement to the contract staff regarding annual salary and benefits.
- Vice President
Shall be a member of, and attend meetings of the Board of Directors. Specific responsibilities include: - Shall assist the President, Board of Directors and office staff in such activities or duties as may be requested.
- Shall be in charge of meetings in the absence of the President.
- Shall exercise such signing authority as may be delegated by the Board of Directors.
- Shall aid the President if requested to provide direction to office staff.
- Shall do any of the President’s duties in his or her absence.
- Shall deal with all inappropriate incidences in conjunction with the Office Manager and the respective Director as required.
- Sports Director
Shall oversee the Club’s sporting activities. Specific responsibilities include: - Shall be a member of and attend meetings of the Board of Directors.
- Shall assist the Board of Directors and office staff in such activities or duties as may be requested.
- Shall oversee all sporting events.
- Shall act as a liaison between the Board of Directors, and the members in matters pertaining to sports.
- Shall give an update on Sporting Events at the Annual General Meeting and at general Board meetings.
- Shall exercise such signing authority as may be delegated by the Board of Directors.
- Shall aid any event organizer, when asked such, as a resource for C63N budget requests and event planning.
- Shall review, for upcoming fiscal period, newly submitted budget requests for sports activities.
- Shall review C63N budgets and expenses for budget compliance and can approve budget changes without board approval up to board appointed limits.
- Shall, as requested by sport event participants or event owner, deal with unacceptable conduct in conjunction with Vice President and C63N Office Manager.
- Shall, upon behalf the Board of Directors, thank event organizers at the completion of the event.
- Social Director
Shall oversee the Club’s social activities. Specific responsibilities include: - Shall be a member of and attend meetings of the Board of Directors.
- Shall assist the Board of Directors and office staff in such activities or duties as may be requested.
- Shall oversee all social events.
- Shall act as a liaison between the Board of Directors, and the members in matters pertaining to social events.
- Shall give an update on social items at the Annual General Meeting and at general Board meetings.
- Shall exercise such signing authority as may be delegated by the Board of Directors.
- Shall aid any event organizer, when asked such, as a resource for C63N budget requests and event planning.

- Treasurer
Shall oversee all C63N accounting activities. Specific responsibilities include: - Shall be primarily responsible for the preparation and custody of all financial books and records.
- Shall provide a Treasurer’s Report at meetings of the Board of Directors.
- Shall present the Financial Statements at the Annual General meeting.
- Shall be a member of and attend meetings of the Board of Directors.
- Shall assist the President, the Board of Directors and office staff in such activities or duties as may be requested.
- Shall exercise such signing authority as may be delegated by the Board of Directors.
- Shall, in advance of the upcoming fiscal period, provide the Board of Directors with a projection of available funds for the coming year.
- Shall, in conjunction with the Syncrude Management Representative and on behalf of the Board, participate in an annual review of the operating grant provided by Syncrude Canada Ltd.
- Secretary
Shall formulate agenda for all meetings and oversee the minutes binder. Specific responsibilities include: - Shall distribute agenda for all meetings of the Board of Directors in a timely manner.
- Shall ensure all decisions and motions are recorded in the minutes of any meetings called by the Board of Directors.
- Shall distribute meeting minutes in a timely manner.
- Shall record and maintain an up to date action log.
- Shall be a voting member of and attend meetings of the Board of Directors.
- Directors At Large
Shall act as an advisor to the Board of Directors. Specific responsibilities include: - Shall perform such duties as may be assigned by the board of Directors and the President.
- Shall be a member of and attend meetings of the Board of Directors.
